Phoneword Licence Terms

Please read this document carefully before licensing a phoneword from Pickle. By applying for or using a Pickle phoneword, you agree to be bound by these Phoneword Licence Terms ("Terms"), which form part of and are incorporated into the Pickle Customer Terms available at thinkpickle.com.au/legal/customer-terms.

In the event of any inconsistency between these Terms and the Customer Terms, these Terms prevail to the extent of the inconsistency.

"EROU number" means an Easy Recall Override Unique number — a telephone number selected for its alphanumeric properties, where the digits correspond to a word or phrase on a standard telephone keypad (for example, a number where the digits spell a recognisable word).

"Inbound Service" means an inbound telephone service (such as a 1300 or 1800 number) provided by Pickle to which the phoneword is routed.

"Phoneword" means an EROU number that Pickle has the right to licence to you, including any alphanumeric translation of that EROU number.


2. What Is a Phoneword?

A phoneword is an EROU number that we have the right to licence to you, and includes any alphanumeric translation of that EROU number. If we accept your application for a phoneword, we will licence and provide that phoneword to you on the terms set out in this document.


3. Minimum Period

You must take a phoneword from us for a minimum period of 12 months ("minimum period").


4. Licence Terms

If we accept your application for a phoneword, we grant you an exclusive, non-assignable, non-transferable licence to use the phoneword as a telephone number with your Inbound Service. You may not assign or transfer the licence unless we agree in writing.


5. Using a Phoneword

5.1 You must not use the phoneword in a way that will:

  • (a) infringe the intellectual property rights of any other person; or
  • (b) mislead or deceive, or be likely to mislead or deceive, other people.

This clause prevails over any other clause in these Terms to the extent of any inconsistency.

5.2 You must comply with all applicable Australian laws, industry codes, and regulations relating to the use of the phoneword.

5.3 If a third party alleges that your use of the phoneword infringes their rights (including intellectual property rights), is misleading or deceptive, or constitutes passing off, it is your responsibility to obtain legal advice and resolve the matter with the third party. This clause is subject to any non-excludable rights you may have under the Australian Consumer Law.


6. Using a Phoneword With an Associated Trade Mark

Where the phoneword has an associated trade mark, you agree:

  • (a) to use the phoneword only in connection with the types of goods or services associated with the phoneword;
  • (b) not to sub-licence your rights to use the phoneword to any person without our prior written permission;
  • (c) to use the phoneword only in accordance with our reasonable directions and quality standards as notified to you from time to time;
  • (d) at our request, to provide us with samples of how the phoneword is used in documents, labels, artwork, advertising, and other materials;
  • (e) on reasonable notice, to provide us or a nominated third party with access to your premises to verify that use of the phoneword complies with these Terms;
  • (f) to obtain our prior written consent before registering a trade mark, domain name, company name, business name, or other trading name that incorporates the phoneword — you acknowledge that you have only a licence to use the phoneword as a telephone number and we may not always agree to such registrations; and
  • (g) that use of the phoneword (including any registration as part of a trade mark, company name, business name, domain name, or other trading name) is entirely at your risk.

7. Charges

7.1 The fees for your licence to use a phoneword and, where applicable, the assignment to you of our rights in a phoneword, are set out in your application form.

7.2 The licence fees do not cover any charges relating to telecommunications services provided in connection with the phoneword (including your Inbound Service charges).

7.3 We will invoice you for licence fees in advance. You must pay each invoice within 14 days of receiving it.

7.4 The assignment of our rights in a phoneword to you will not take effect until we receive full payment of the applicable assignment fee.

7.5 You acknowledge that the licence fees we pay to the third party that owns the phoneword automatically increase by 5% on 1 July each year. We will therefore increase your fees by 5% each year, effective on 1 July each year.

7.6 If you agree to licence a phoneword from us for a contract term of three years, your fees will be reduced by 50% for the first 18 months of that term.


8. Failure to Pay Fees

If you fail to pay the applicable fees when due, and then fail to pay within a reasonable time after we notify you of that failure, we may — in addition to our other rights under the Customer Terms — assign our rights and transfer our obligations in respect of your phoneword licence to the third party that owns the phoneword, provided that:

  • (a) that third party will invoice you directly for your use of the phoneword;
  • (b) that third party has sufficient financial capacity and resources to perform our obligations to you in respect of the phoneword; and
  • (c) that third party agrees to perform our obligations to you in respect of the phoneword.

9. Cancelling Your Phoneword

9.1 You acknowledge that:

  • (a) a third party owns the phoneword and has provided Pickle with the rights to sub-licence the phoneword to you; and
  • (b) you have no rights in the phoneword other than as expressly set out in these Terms.

9.2 If we reasonably believe that your use of the phoneword breaches these Terms, we may cancel or suspend your phoneword.

9.3 You may cancel your phoneword licence by providing us with one month's written notice.

9.4 If you cancel your phoneword licence before the expiry of the contract term, you must pay us an early termination charge. The early termination charge is equal to our actual costs and expenses incurred or committed to in anticipation of providing the service, which cannot reasonably be avoided as a result of the cancellation, and which will not exceed 85% of the total monthly fees payable for the remainder of the contract term calculated from the date of cancellation.

9.5 You acknowledge that the early termination charge is a genuine pre-estimate of the loss we are likely to suffer if you cancel your phoneword licence before the end of the contract term.

9.6 If you port your phoneword to another service provider not on the Pickle network, we will immediately and automatically assign our rights in respect of your phoneword licence to the third party that owns the phoneword. From the date of porting, that third party may invoice you directly and perform our obligations in respect of the phoneword.

9.7 If you cancel your Inbound Service, we may also cancel your phoneword licence 20 business days after cancellation of the Inbound Service if the phoneword is associated with that Inbound Service. An early termination charge as described in clause 9.4 will apply.

9.8 If your phoneword licence expires or terminates, you must immediately stop using the phoneword and stop using (and cancel any registrations or applications for) any trade marks, domain names, company names, business names, or other trading names that incorporate the phoneword. After expiry or termination, we or the third-party owner may licence the phoneword to another person, and you agree not to take action against us or any third party for their subsequent use of the phoneword.

9.9 We may need to cancel your phoneword licence if we no longer have the right to licence it to you. If this occurs, we will notify you as soon as reasonably practicable and will use all commercial endeavours to procure a licence from the applicable third party for you to continue using the same phoneword. Where we are unable to do so, we may migrate you to a reasonably comparable service. If a migration has more than a minor detrimental impact on you, you may cancel that service without paying any early termination charge.

9.10 Where we attempt to procure a licence for you from a third party, we may disclose your information and the details of your existing phoneword licence to that third party to facilitate this.

9.11 You must not procure or assist any third party to do anything that you have agreed not to do under these Terms.
